The lower middle market lens

Lower middle market (LMM), companies with $10M to $50M+ revenue, should separate visible exit activity from evidence of cash realization. Private Equity Wire reported Thoma Bravo’s agreement to take Accelerant private for more than $4 billion, while PE Hub reported Cube Infrastructure’s sale of Firstcolo to CVC DIF and Bloomberg reported that Vantage Data Centers is weighing an IPO at about $100 billion or a sale. These are route markers, but the supplied reports do not disclose distributions, pricing outcomes, or hold-period returns. The cash-versus-paper tension is reinforced by Bloomberg’s report that La Caisse returned 5.1% in the first half of 2026 while declines in private equity offset gains in listed equities and left the fund behind its benchmark. Operational progress is stated more often than tested. In ACG Insights, National Business Capital founder and CEO Joe Camberato identified management, infrastructure, technology and processes, alongside financial planning and hiring, as capabilities required to scale into the middle market. ACG Insights also described calibrated capital stacks, AI platforms and off-the-shelf software as tools that can help smaller companies compete. PE Hub reported Battery Ventures’ backing of Vetspire to accelerate product innovation and AI development for veterinary teams. Neither report provides operating results, adoption data, margin effects or a post-close execution test. The net effect is a market with observable exit routes and active capital formation, but limited evidence that paper values, AI claims and buy-build plans have translated into realized operating outcomes. LMM sponsors should make the next investment committee memo carry a cash-realization case, a valuation-support file and a dated execution scorecard.
